We advise on setting up all types of vehicles for clients in Vietnam, from joint ventures, wholly owned subsidiaries, branches, to representative offices.

We act as outside counsel working with the management and/or the in-house legal professionals on corporate issues and transactional matters, such as change of directors or legal representatives, amendments to corporate charters or licenses, change of scope of business, increase/decrease of charter capital, annual shareholder/director meetings, drafting/reviewing business contracts, customs and foreign exchange issues, as well as regulatory compliance issues.

  • Foreign Direct Investment.  We handle transactions from inception to completion, including investment structuring, partner selection, due diligence, full documentation and regulatory approvals.
  • Mergers & Acquisitions. We assist clients in conducting legal due diligence, negotiation, transaction structuring, employment and real estate issues, and documentation.
  • Private Equity & Venture Capital. We advise local start-up enterprises during their initial growth phases in Vietnam; as well as assisting mature companies in structuring their operations, strategic partnership negotiations, acquisitions and disposals, and liquidity transactions. We advise early-stage in fundraisings, acquisitions, dispositions, joint ventures, governance.
  • Technology & e-Commerce. We advise and represent in licensing e-commerce in Vietnam.

We also act as “in-house counsel” on a monthly retainer for companies that need access to our lawyers who attend to clients’ matters as if the lawyers work for clients in-house.   Our lawyers will, at the client’s request attend the regular or special shareholders or directors meeting and draft the necessary minutes or resolutions, prepare and file regulatory filings when necessary, and provide legal opinion on the meetings held for regulatory or other compliance.  In such a “in-house counsel” role, our firm also performs duties similar to the company secretary providing services for preparing and maintaining all corporate and legal documents for easy and convenience access by the management as well as the regional office of the clients.
